YearbookLife Terms of Use

1. Acceptance of Terms

This Terms of Use agreement (“Agreement”) is a legal contract between:

  • You, the individual user, and
  • Any organization, company, school, or other business entity you represent (if applicable),

(collectively referred to as the “Member”),

and YearbookLife (including its affiliates, partners, subsidiaries, and employees, collectively “YearbookLife”). YearbookLife operates, among other things, the websites www.yearbooklife.com and https://storefront.yearbooklife.com/, as well as related social media pages, mobile websites, applications, and other online content (collectively, the “Service”).

BY CHECKING THE BOX ON A SIGN-UP OR REGISTRATION PAGE, CREATING AN ACCOUNT, SIGNING A PUBLISHING ORDER OR PRINT ORDER OR USING ANY PART OF THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO BE LEGALLY BOUND BY ALL OF ITS TERMS AND CONDITIONS.

If you do not agree to this Agreement, you must not register for, access, or use www.yearbooklife.com, https://storefront.yearbooklife.com/, Pictavo, YBive or any other part of the Service.

The Service is provided to Member on the condition that Member accepts this Agreement without modification. Member understands that YearbookLife may periodically update, revise, or otherwise modify this Agreement. By continuing to use the Service after changes are posted, Member agrees that YearbookLife may change the terms of this Agreement in its sole discretion, without separate notice to Member.

If Member does not accept any updated terms, Member’s only remedy is to stop using the Service and cancel Member’s YearbookLife accounts (“Member Account”).

YearbookLife also reserves the right, at its sole discretion, to suspend, cancel, or refuse access to the Service for any person or entity, at any time, without prior notice. Unless explicitly stated otherwise, any new features, tools, or services that add to, modify, or enhance the existing Service are automatically subject to this Agreement.

2. General Use of the Service

Member agrees not to use the Service, in whole or in part, for any purpose that is unlawful, prohibited by this Agreement, or otherwise inconsistent with applicable law.

Your use of the Service is governed by:

  • This Agreement,
  • YearbookLife’s Privacy Policy, and
  • The terms of service, privacy policies, and other applicable terms for any social media platforms or third-party sites or applications that interact with the Service.

YearbookLife may occasionally offer promotions, sweepstakes, or contests. By participating in such activities in any manner, Member agrees to comply with:

  • The terms and rules specific to that promotion or contest,
  • This Agreement, and
  • YearbookLife’s Privacy Policy and any other applicable terms.

Member agrees not to:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, frame within another website, transfer, or sell any information, software, lists of users, databases, content, products, or services obtained through the Service, except as reasonably necessary to create and manage a Member website or page (“Member Website”) in accordance with this Agreement.

This includes, without limitation, agreeing not to engage in:

  • “Screen scraping,”
  • “Database scraping,” or
  • Any other method designed to collect lists of users or information from the Service without authorization.

Member must not use the Service in a way that could damage, disable, overburden, or impair the Service, or interfere with another party’s use and enjoyment of the Service. Member may not attempt to obtain any materials or information through any means not intentionally made available through the Service.

Without YearbookLife’s prior written permission, Member must not access or attempt to access password-protected, secure, or non-public areas of the Service. Any attempt to access such restricted areas may result in legal action.

3. Member Registration and Privacy

To use certain parts of the Service or to participate in specific features (such as creating a Member Website), YearbookLife may require Member to provide information about Member and/or Member’s organization or business.

If Member chooses to register or create a Member Website, Member agrees to:

  • Provide accurate, current, and complete information, and
  • Not impersonate any person or entity or misrepresent Member’s affiliation with any person or entity.

Member is solely responsible for:

  • Maintaining the confidentiality of Member’s Account and password,
  • All activities that occur under Member’s Account or password, and
  • All consequences arising from the use or misuse of Member’s Account or password by anyone who has been given access by Member (including former employees, former partners, and others).

Member agrees to indemnify YearbookLife for all actions taken by such users.

Any information supplied by Member during registration or otherwise in connection with the Service (collectively, “Member Data”) is subject to YearbookLife’s Privacy Policy. By using the Service, Member agrees that YearbookLife may collect, use, and disclose Member Data as described in that Privacy Policy. Member can review the current Privacy Policy on www.yearbooklife.com or request a link to the copy by emailing production@yearbooklife.com.

4. Member Account Limitations

Member acknowledges that YearbookLife may, from time to time, establish general practices and limitations regarding the use of the Service, which may include, without limitation:

  • Maximum storage space allocations,
  • Limits on the number of Member Websites per Member Account, and
  • Limits on the number of pages within each Member Website.

Any such limitations will be consistent with the Service level for which Member has registered.

Member agrees that YearbookLife is not responsible or liable for the deletion of, or failure to store, any content or data maintained or transmitted via the Service. Member further acknowledges that YearbookLife may change these practices and limits at any time, in its sole discretion, with or without notice.

5. Content Submitted to YearbookLife Websites

The YearbookLife websites (including www.yearbooklife.com and https://storefront.yearbooklife.com/) Pictavo and YBLive may include areas such as Member Websites, discussion areas, message boards, and other communication tools that allow Members to share and exchange information, opinions, and content with other users or the public.

While YearbookLife values open communication and the free exchange of ideas, YearbookLife:

  • Is not obligated to monitor or pre-screen Member content, and
  • Reserves the right, in its sole discretion, to monitor, review, pre-screen, or remove content at any time.

YearbookLife is not responsible for the appropriateness, accuracy, completeness, reliability, or timeliness of any thoughts, opinions, or other content posted by Members or third parties.

Member should always use caution when posting personally identifying information about Member, Member’s students, staff, or other individuals on any YearbookLife site, Member Website, or other user-generated page.

6. Member Conduct

Member’s right to use the Service is personal to:

  • Member, and
  • Member’s organization, company, and its employees (if applicable).

Member, not YearbookLife, is entirely responsible for all content such as information, data, text, software, music, sounds, photos, graphics, videos, messages, and other materials that Member posts or transmits via the Service (“Member Content”).

Member is solely responsible for ensuring that Member Content and Member’s overall use of the Service comply with all applicable laws, regulations, and ordinances at the local, state, federal, and international levels.

Member must:

  • Provide all legally required warnings and disclosures,
  • Comply with all applicable laws and regulations, and
  • Take any other required or appropriate actions (collectively, “Information and Actions”) in connection with Member’s use of the Service.

If the Service does not support the necessary functionality for Member to comply with required Information and Actions, Member must not use the Service for that purpose.

YearbookLife does not control Member Content and does not guarantee its accuracy, integrity, or quality. YearbookLife reserves the right, but has no obligation, to review Member Content and to remove or refuse to display any such content at any time, in its sole discretion and without notice. YearbookLife may disclose any information it deems necessary to comply with applicable law, regulation, legal process, or governmental request, or to edit, refuse to post, or remove any content in whole or in part.

With respect to content on Member Websites, Member agrees not to:

  1. Post, upload, or transmit any content that is misleading, or impersonate any person or entity, or misrepresent Member’s affiliation with a person or entity, including but not limited to consumers or customers.
  2. Post, upload, or transmit any content that is inappropriate, harmful to minors, threatening, abusive, harassing, tortious, defamatory, obscene, libelous, invasive of another’s privacy, hateful, or otherwise objectionable based on race, ethnicity, religion, gender, sexual orientation, or other protected characteristics.
  3. Post, upload, or transmit any content that Member is not authorized to share under any law or under contractual or fiduciary obligations (for example, confidential information learned through employment or nondisclosure agreements).
  4. Post, upload, or transmit any content that infringes or violates any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
  5. Post, upload, or transmit any materials that contain viruses, malware, or other code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer system or telecommunications equipment; or attempt to access other users’ accounts or to bypass or compromise security measures on YearbookLife systems, its vendors’ systems, or other entities’ systems (“hacking”), whether or not such attempts result in data loss or corruption.
  6. Post, upload, or transmit any materials that place an unreasonable or disproportionately large load on YearbookLife’s infrastructure or that exceed usage limits associated with the Service level for which Member is registered.
  7. Post, upload, or transmit any unsolicited or unauthorized advertising or promotional materials, including “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.
  8. Interfere with or disrupt the Service, servers, or networks connected to the Service, or violate any procedures, policies, or regulations of networks connected to the Service.
  9. Intentionally or unintentionally violate any applicable local, state, national, or international law, including without limitation regulations of the U.S. Securities and Exchange Commission, rules of any securities exchange (such as the New York Stock Exchange, NASDAQ, or others), and any laws having the force of law.
  10. Alter or forge headers or otherwise manipulate identifiers to disguise the origin of any content transmitted through the Service.
  11. Promote or provide instructions for illegal activities, promote physical harm or injury against any group or individual, or encourage any act of cruelty to animals.
  12. Sell, market, distribute, or link to any sites that promote or sell:
  • Firearms, explosives, or ammunition,
  • Liquor or tobacco products, or
  • Any other products or services that (i) Member cannot legally sell, (ii) are misrepresented, or (iii) if sold via a Member Website, could cause YearbookLife to be in violation of any law, statute, or regulation.
  1. Post or disclose any personal or private information or images of children or any third party without proper consent (including parental consent in the case of a minor).

YearbookLife may terminate Member’s Account if YearbookLife determines that such content is inappropriate for the community at large, even if the content does not explicitly violate a particular provision of this Agreement.

7. Discussion Boards

YearbookLife may provide discussion boards or similar interactive forums (“Discussion Boards”) as part of the Service. When using any Discussion Board, Member agrees to follow all terms and conditions set forth in this Agreement and in any separate Discussion Board policies that YearbookLife may publish and incorporate by reference.

8. Third-Party Content

For Member’s convenience, the Service (including the YearbookLife websites) may display or link to products, services, content, and information provided by third parties (including advertisers and affiliates), as well as links to third-party websites (“Third-Party Content”).

Such Third-Party Content is not under YearbookLife’s control, and YearbookLife is not responsible or liable for:

  • Any Third-Party Content,
  • Any links contained within such content, or
  • Any changes or updates to such content or websites.

YearbookLife has no obligation, but reserves the right, to pre-screen Third-Party Content and does not assume responsibility for content supplied by others. The inclusion of Third-Party Content is provided solely as a convenience and does not imply endorsement by YearbookLife of the relevant content, advertiser, or affiliate.

Using third-party products, services, content, software, or websites may be subject to additional or different terms, conditions, and privacy policies. Member is responsible for reviewing and complying with those terms. YearbookLife reserves the right to remove any Third-Party Content that it believes, in its sole judgment, does not meet its standards, but is not liable for any failure or delay in removing such material.

YearbookLife is not responsible for:

  1. The terms and conditions of any transaction between Member and a third party,
  2. Any issues related to the third party’s background, insurance, credit, licensing, or compliance, or
  3. The quality or performance of services or products provided by any such third party, or any other legal liability arising out of or related to such performance.

If Member has a dispute with a third party, Member agrees to release YearbookLife (and its affiliates, suppliers, agents, and employees) from all claims, demands, and damages (actual or consequential, known or unknown, suspected or unsuspected, disclosed or undisclosed) arising from or in any way connected with such dispute.

9. Mobile Terms of Service

YearbookLife may offer one or more mobile messaging programs (the “Mobile Service”), which may include SMS/text messaging. The Mobile Service is operated by YearbookLife (“YearbookLife,” “we,” or “us”). Your use of the Mobile Service constitutes your agreement to these Mobile Terms, which form part of this Agreement.

We may modify or discontinue the Mobile Service or any of its features at any time without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time. Continued use of the Mobile Service after any changes become effective constitutes Member’s acceptance of those changes.

By consenting to YearbookLife’s SMS/text messaging program, you agree to receive recurring SMS/text messages from and on behalf of YearbookLife via your wireless provider to the mobile number you provide, even if that number is registered on a state or federal Do Not Call list. Messages may be sent using an automatic telephone dialing system or similar technology.

Types of messages may include, for example:

  • Service-related messages (such as order updates, account alerts, and other information), and
  • Promotional messages (such as specials, reminders, and marketing offers).

YearbookLife will not sell or share your mobile phone number or your message-consent preferences with third parties for their own promotional or marketing purposes.

You understand that:

  • You do not need to enroll in the Mobile Service to make a purchase, and
  • Your consent to receive SMS/text messages is not a condition of any purchase from YearbookLife.

Participation in the Mobile Service is completely voluntary.

YearbookLife does not charge a fee for the Mobile Service, but you are responsible for all messaging and data charges imposed by your wireless provider. Message frequency may vary. Standard message and data rates may apply. You should review your mobile plan and contact your wireless provider with any questions about your text or data plan. You are solely responsible for all charges related to SMS/text messages.

You may opt out of the Mobile Service at any time by:

  • Texting the single keyword command “STOP” in response to any Mobile Service message, or
  • Using any available unsubscribe link contained in a Mobile Service text message, where applicable.

After you send “STOP,” you may receive a one-time confirmation text indicating that you have been unsubscribed. You will not receive additional Mobile Service messages from YearbookLife unless you later choose to opt in again or otherwise initiate messages.

If you are enrolled in more than one YearbookLife mobile messaging program, you may need to opt out separately from each program, unless otherwise required by law, by following the opt-out instructions in the respective program’s terms or messages.

For service support or assistance regarding the Mobile Service, you may:

We may change any short code or phone number used to operate the Mobile Service at any time. If we do so, we will provide notice by reasonable means. You understand that any messages you send to a short code or phone number that has been changed may not be received, and YearbookLife is not responsible for honoring requests made in such messages.

Wireless carriers are not liable for delayed or undelivered messages.

You agree to provide us with a valid mobile number. If your mobile number changes, you may need to re-enroll using your new number.

To the extent permitted by law, you agree that YearbookLife will not be liable for any failure, delay, or misdirection in the delivery of information sent through the Mobile Service, for any errors in such information, or for any actions you take or do not take in reliance on the Mobile Service.

10. Disclaimer of Warranties

MEMBER EXPRESSLY UNDERSTANDS AND AGREES THAT:

(A) MEMBER’S USE OF THE SERVICE IS AT MEMBER’S SOLE RISK. YEARBOOKLIFE AND ITS SUPPLIERS PROVIDE THE SERVICE — INCLUDING ALL CONTENT, SOFTWARE, FUNCTIONS, MATERIALS, AND INFORMATION MADE AVAILABLE ON OR THROUGH THE SERVICE OR ANY MEMBER WEBSITE — “AS IS” AND “AS AVAILABLE”, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

THIS INCLUDES, BUT IS NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SERVICE OR ANY MEMBER WEBSITE IS ACCESSED AT MEMBER’S SOLE DISCRETION AND RISK. MEMBER IS SOLELY RESPONSIBLE FOR ANY DAMAGE TO MEMBER’S COMPUTER SYSTEM, MOBILE DEVICE, OR LOSS OF DATA RESULTING FROM SUCH DOWNLOADS OR USE.

11. Limitation of Liability

IN NO EVENT SHALL YEARBOOKLIFE OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN CONNECTION WITH:

  • (A) MEMBER’S USE OF OR INABILITY TO USE THE SERVICE,
  • (B) THE PROVISION OF OR FAILURE TO PROVIDE SERVICES,
  • (C) ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES, OR RELATED GRAPHICS OBTAINED THROUGH THE SERVICE OR OTHERWISE ARISING FROM THE USE OF THE SERVICE,
  • (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE, OR
  • (E) ANY OTHER MATTER RELATING TO THE SERVICE,

HOWEVER CAUSED (INCLUDING NEGLIGENCE), EVEN IF YEARBOOKLIFE OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to certain Members.

IN NO EVENT SHALL YEARBOOKLIFE’S TOTAL AGGREGATE LIABILITY TO MEMBER AND/OR ANY THIRD PARTY ARISING FROM OR RELATED TO THIS AGREEMENT EXCEED:

  • THE AMOUNT MEMBER ACTUALLY PAID TO YEARBOOKLIFE UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE THE CLAIM AROSE, OR

  • $500.00,

WHICHEVER IS LESS.

Without limiting the foregoing, neither YearbookLife nor its suppliers is responsible for any Member data stored on the Service or on any of YearbookLife’s suppliers’ hardware. Member is responsible for backing up Member’s data and information, whether or not such data is generated through the Service. Member is solely responsible for taking steps necessary to maintain Member’s primary means of business (if applicable).

12. Proprietary Rights to Member Content

YearbookLife does not claim ownership of Member Content that Member submits to the Service or places on a Member Website. However, by using the Service and submitting Member Content, Member grants YearbookLife a worldwide, royalty-free, non-exclusive license to:

  1. Host, use, reproduce, modify, distribute, transmit, combine with information provided by third parties, and publicly display Member Content on and through the Service, and in YearbookLife’s promotional or advertising materials for the limited purpose of promoting the Service; and
  2. Sublicense such Member Content to third parties as reasonably necessary for the creation, maintenance, and operation of websites or services that are enabled by or connected to the Service.

No compensation will be paid to Member for YearbookLife’s use of Member Content under this license.

By posting messages, uploading files, inputting data, submitting feedback or suggestions, or otherwise communicating through any Member Website or the Service, Member represents and warrants that:

  • Member owns or otherwise controls all rights necessary to grant the above license, and
  • Member will defend and indemnify YearbookLife and its suppliers against any third-party claim arising from a breach of these representations and warranties.

13. YearbookLife Proprietary Rights and Software Licenses

Member acknowledges and agrees that:

  • The Service and any software used in connection with the Service (the “Software”) contain proprietary and confidential information protected by intellectual property and other laws.
  • Content contained in sponsor advertisements or information provided to Member through the Service, advertisers, or Discussion Boards is protected by copyrights, trademarks, service marks, patents, and other proprietary rights and laws.

YearbookLife grants Member a limited, non-exclusive, non-transferable license to use the Software solely to access and use the Service in accordance with this Agreement. Member may not sublicense or charge others for the right to use or access the Software without YearbookLife’s prior written permission.

The Software may be owned by YearbookLife and/or its suppliers and is protected by copyright laws and international treaties. Any reproduction, modification, creation of derivative works, or redistribution of the Software is strictly prohibited and may result in civil and criminal penalties.

The Software’s structure, sequence, organization, and source code are trade secrets of YearbookLife and its suppliers and are protected as such.

WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCING THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED. MEMBER MAY NOT DECOMPILE, DISASSEMBLE, REVERSE ENGINEER, OR OTHERWISE ATTEMPT TO DISCOVER ANY SOURCE CODE CONTAINED IN THE SOFTWARE.

14. Indemnification

Member agrees to indemnify and hold harmless YearbookLife and its suppliers, affiliates, partners, subsidiaries, owners, and employees (collectively, the “Indemnified Parties”) from and against any and all claims, demands, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) incurred by an Indemnified Party arising out of or related to:

  1. Member’s breach of this Agreement,
  2. Any information (including Member Data and publicly posted information) submitted, posted, or otherwise provided by Member on a Member Website and/or to YearbookLife or its affiliates,
  3. Any dispute or litigation between an Indemnified Party and a third party resulting from Member’s actions or omissions, or
  4. Member’s negligence or violation (or alleged violation) of any rights of another person or entity.

These indemnification obligations will survive any termination of Member’s relationship with YearbookLife or Member’s use of the Service. To the fullest extent permitted by law, this indemnity applies regardless of any alleged fault, negligence, or breach of warranty or contract by any Indemnified Party.

15. Copyright and Trademark Notices

All materials contained in the Service and the Software (including the organization and layout of the YearbookLife websites and design software) are owned or licensed by YearbookLife, its affiliates, or its suppliers and are protected by copyright and other intellectual property laws. All rights are reserved.

No reproduction, distribution, or transmission of any copyrighted materials included in the Service or the Software is permitted without YearbookLife’s prior written consent. Any rights not expressly granted in this Agreement are reserved.

YearbookLife,” the YearbookLife logos, Booker, and any associated marks are trademarks or service marks of YearbookLife (the “YearbookLife Marks”). Member agrees not to display or use the YearbookLife Marks in any manner without YearbookLife’s prior written permission.

16. Copyright Complaints (DMCA)

YearbookLife respects the intellectual property rights of others and expects users of the Service to do the same. It is YearbookLife’s policy to respond promptly to legitimate claims of copyright and other intellectual property infringement and to take appropriate actions under the Digital Millennium Copyright Act (“DMCA”) and other applicable intellectual property laws.

Upon receiving a valid DMCA notice, YearbookLife may act expeditiously to remove or disable access to any material claimed to be infringing or to be the subject of infringing activity. YearbookLife may also remove or disable access to any reference or link to such material or activity. YearbookLife may terminate access for subscribers and account holders who are repeat infringers.

Notifying YearbookLife of Copyright Infringement

If you believe that your copyrighted work has been copied and is accessible on the Service in a way that constitutes copyright infringement, you must send a written notice to:

Your notice must include all information required by the DMCA (see 17 U.S.C. § 512), including:

  • Identification of the copyrighted work claimed to have been infringed,
  • Identification of the allegedly infringing material and information reasonably sufficient to permit YearbookLife to locate the material,
  • Your contact information,
  • A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law,
  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf, and
  • Your physical or electronic signature.

Please note that you may be liable for damages (including costs and attorneys’ fees) if you materially misrepresent that a particular activity is infringing your copyrights.

Counter-Notification

If your material has been removed or disabled and you believe it is not infringing, you may send a counter-notification to:

Your counter-notification must include all information required by the DMCA, including:

  • Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or disabled,
  • A statement, under penalty of perjury, that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification,
  • Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal court in the judicial district in which your address is located (or, if outside the United States, that you consent to jurisdiction in any judicial district in which YearbookLife may be found) and that you will accept service of process from the person who provided the original infringement notice or their agent, and
  • Your physical or electronic signature.

You may be liable for damages (including costs and attorneys’ fees) if you materially misrepresent that material is not infringing the rights of others. If you are unsure whether an activity constitutes infringement, you should consider consulting an attorney.

17. Modification of the Service

YearbookLife reserves the right, at any time and in its sole discretion, to modify, suspend, or discontinue the Service (or any part of it), either temporarily or permanently. This may include:

  • Adding limitations to certain features or services, or
  • Restricting access to parts or all of the Service.

Such changes may be made with or without notice. Member agrees that YearbookLife will not be liable to Member or any third party for any modification, suspension, or discontinuation of the Service.

YearbookLife also reserves the right to remove any element or feature from Member Websites or the Service at any time, with or without notice, if YearbookLife discontinues offering that element for any reason. If Member does not agree with any modification, Member’s sole and exclusive remedy is to cancel Member’s Account and stop using the Service.

18. Termination or Cancellation of Member Account

YearbookLife may terminate or cancel Member’s Account at any time, for any reason. Member understands and agrees that cancelling Member’s Account is Member’s exclusive remedy with respect to any dispute with YearbookLife, including disputes arising out of or related to:

  1. Any term of this Agreement or YearbookLife’s enforcement or application of such term;
  2. Any policy or practice of YearbookLife, including the Privacy Policy or any copyright or user content policies, or YearbookLife’s enforcement or application of these policies;
  3. The content that is available through the Service or any changes in such content;
  4. Member’s ability to access or use the Service or Member Website; or
  5. The amount, type, or method of calculation of fees, surcharges, taxes, or any changes to such fees, surcharges, taxes, or billing methods (if applicable).

All provisions of this Agreement that by their nature should survive termination will continue to apply after Member’s Account is terminated.

YearbookLife may, in its sole discretion, terminate Member’s Website, Account, or use of the Service for reasons including, but not limited to:

  • (i) Member’s breach of this Agreement;
  • (ii) YearbookLife’s inability to verify or authenticate information that Member provides;
  • (iii) YearbookLife’s belief that Member has violated or acted inconsistently with the spirit or intent of this Agreement; or
  • (iv) Lack of use if Member has registered for a free Service.

YearbookLife may also terminate Member’s Account and/or Member Website if YearbookLife decides, in its sole discretion, to discontinue offering the Service.

If YearbookLife terminates Member’s Account under clauses (i), (ii), or (iii) above, Member will forfeit all credits, pre-paid fees, and any other amounts that may have accrued, and YearbookLife will have no obligation to refund or pay any amounts to Member.

Upon termination of Member’s Account for any reason, YearbookLife reserves the right to:

  1. Delete any Member Content, listings, messages, or other information associated with Member’s Account;
    b. Prevent further access to Member’s Account, including deactivation of Member’s password; and
    c. Refuse Member future access to the Service.

In no event shall YearbookLife be required to refund or pay any amounts to Member upon termination of the Service or Member’s Account.

20. General Provisions

If any provision of this Agreement is found to be invalid or unenforceable, that provision will be removed or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

YearbookLife’s failure to exercise or enforce any right or provision in this Agreement will not constitute a waiver of such right or provision.

Member may not assign or transfer this Agreement or any of Member’s rights or obligations hereunder, whether by operation of law or otherwise, without YearbookLife’s prior written consent. Any attempted assignment in violation of the foregoing will be void. YearbookLife may freely assign this Agreement and its rights and obligations hereunder to any third party without notice or consent.

This Agreement will be binding upon and will inure to the benefit of the parties and their respective successors and permitted assigns.

This Agreement constitutes the entire agreement between YearbookLife and Member with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, communications, and understandings (whether oral or written) relating to that subject matter.

Section and subsection titles are for convenience only and have no legal or contractual effect.

The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between the parties. No party has authority to bind or obligate any other party in any manner.

The parties acknowledge that this Agreement may be entered into electronically without the need for physical signatures.

All disputes, claims, or causes of action arising out of or relating to this Agreement (including, without limitation, its validity, interpretation, performance, or breach) shall be resolved exclusively in the state or federal courts located in, or having jurisdiction over, Broward County, Florida

Member expressly:

  • Consents and submits to the personal jurisdiction of such courts,
  • Waives any claim that such courts are an inconvenient forum (forum non conveniens), and
  • Agrees that any such disputes, claims, or causes of action will be resolved individually, without resort to any form of class or representative action.

Member agrees to reimburse YearbookLife for its reasonable legal and professional fees and expenses incurred in instituting or defending any lawsuit against or by Member.

This Agreement and any dispute arising hereunder shall be governed by and construed in accordance with the substantive laws of the State of Florida, without giving effect to principles of conflicts of law.

22. Independent Review and Acknowledgment

MEMBER ACKNOWLEDGES THAT MEMBER HAS READ THIS AGREEMENT, INCLUDING ALL POLICIES, TERMS, AND PAGES REFERENCED AND INCORPORATED HEREIN, AND AGREES TO BE BOUND BY ALL OF ITS TERMS AND CONDITIONS.

MEMBER FURTHER ACKNOWLEDGES THAT MEMBER HAS INDEPENDENTLY EVALUATED THE DESIRABILITY OF ENTERING INTO THE RELATIONSHIP DESCRIBED IN THIS AGREEMENT AND IS NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN THOSE EXPRESSLY SET FORTH IN THIS AGREEMENT.
